A Kisumu lease failed because the railway-reserve root was missing

The Zurip Properties judgment shows why a title chain can fail when land had already been set apart for railway housing and no lawful allocation root is shown.

A title document is not the same thing as a lawful root. In Kenya Anti-Corruption Commission v Zurip Properties Ltd & another [2019] eKLR, the Environment and Land Court at Kisumu had to decide whether Kisumu Municipality/Block 7/522 could validly sit in a private lease chain when the pleaded history placed it inside land set apart for railway housing. The "another" was Wilson Gachanja, named in the caption as the 2nd Defendant. S. M. Kibunja J delivered the judgment on 5 September 2019. The first question was availability

KACC's case was not simply that a later dealing looked suspicious. Its pleaded position was that the parcel formed part of L.R. No. 1148/1383, land said to have been set apart for railway housing and later vested through East African railway entities and Kenya Railways Corporation. KACC sought declarations, register rectification or cancellation, a permanent injunction, general damages, costs and further relief. Those were prayers, not automatic outcomes. Zurip Properties did not appear or defend the claim. Wilson Gachanja pleaded that he had no personal knowledge of fraud and that his role was limited to delegated documentation for the Commissioner of Lands. The court then considered KACC's evidence on the railway complaint, allocation, surrender request, alleged revocation and later corporation certificate. Judgment PDF (printed p. 2 paras. 3-6)

Paperwork could not supply a missing planning and authority trail

The decisive findings were about source authority, not just formal registration. The court found that the suit property was part of land already set apart and vested in Kenya Railways Corporation. It also found that there was no Part Development Plan supporting the allocation relied on by the 2nd Defendant. Because the land had already been alienated to the Corporation, it was not available for fresh allocation without surrender under the Kenya Railways Act. That made the Commissioner's allocation power central. The court held that the land was not unalienated Government land and therefore could not be allocated under section 3 of the Government Lands Act. The sharper due-diligence question is not only "is there a lease?" It is "could this lease lawfully have been issued over this ground?"

The title protection answer was narrow and serious

The court treated the allocation and lease chain as fraudulent and irregular because the land was allocated without corporate surrender and due process. It held that the allocation, lease and registration in Zurip Properties' name were unprocedurally and fraudulently obtained, conferred no good title, and were void ab initio. For that reason, the title was not protected by Article 40(6) of the Constitution or section 26(1) of the Land Registration Act. Judgment PDF (printed p. 3 para. 8(d))

The remedy was more precise than a broad "KACC won everything" summary. The retained closing enters judgment for KACC only in terms of prayers (a), (b), (c) and (f): invalidity declarations, rectification or cancellation of the lease and certificate entries so the property would be restored to the Corporation, and costs. The retained page does not support treating the separately pleaded permanent injunction as granted. General damages for fraud were refused because loss had not been proved. What a buyer or lender should take from this

This judgment is a dated court decision about a defective allocation root. It does not prove current register status, completed rectification, present possession, enforcement, appeal history or later dealings. Those questions need fresh official and professional follow-up.

The lesson is commercially useful: public-purpose history, surrender, planning and allocation authority belong in the risk file before anyone relies on a clean-looking title chain. ArdhiScore helps organise dated, source-linked land-risk evidence and unresolved questions for that work. It does not certify title or replace official searches or qualified Kenyan legal advice.
