A mortgage settlement limited later joinder and injunction claims in Gitonga

Gitonga's estate representatives failed to obtain joinder and interim restraint after an earlier sanctioned private sale, without a fresh accounting award.

Editorial source hold: Companion judgment [2023] KECA 370 has an incomplete paragraph 23 in both retained formats and no cached signed conclusion. The available orders do not cure that missing text.

A mortgage dispute can acquire a long history of settlements, sales, subdivisions and later parties. That does not mean every later application can reopen the original owner's interest. In Gitonga v National Bank, estate representatives sought joinder and interim restraint concerning land that had already passed through a sanctioned private sale.

Case identity

  • Case: Gitonga & another (Suing as the Legal Representatives of John Gitonga Kihara) v National Bank of Kenya Limited & 5 others
  • Court: Court of Appeal at Nairobi
  • Decision date: 31 March 2023
  • Citation: Civil Appeal 18 of 2017; [2023] KECA 369 (KLR)
  • Stage: Interlocutory appeal concerning joinder and injunctive relief.
  • Primary decision: Read the judgment.

The earlier workout shaped the later claim

The estate representatives' application concerned subdivisions of land sold under a negotiated mortgage-debt settlement. The purchaser failed to complete payment, leading to proceedings between it and the bank, a consent and a vesting order in the bank's favour. Further transfers and charges formed the setting for the later joinder application. (Paragraphs 1-10 and 20-30.)

The Court of Appeal treated the earlier sanctioned private sale as having extinguished the deceased's equity of redemption. That finding shaped whether the later application demonstrated a right requiring protection. (Paragraphs 20-26.)

It would be misleading to retell the case as though the estate still held an untouched right to redeem merely because the original borrower had died and representatives were now litigating. Equally, the finding should not be generalised to every proposed mortgage sale without examining its validity and the actual instruments.

The decision expressly identified the appeal as interlocutory. Its label as a judgment does not mean it was a complete new trial of every bank account, later transaction or asserted loss. (Paragraph 30.)

Adding parties required a useful pleaded purpose

The court found no useful purpose in the proposed joinder. Its reasoning identified the absence of appropriate amended pleadings and a demonstrated cause of action against the proposed parties. A person's connection to later land dealings did not, on its own, establish why that person should be joined in the claim presented. (Paragraphs 48-52.)

This is a practical distinction between tracing a transaction history and pleading a remedy. A file may identify several purchasers or security holders, but the application still needs to show how their participation relates to a live claim.

The court also found that the applicants had not established the prima facie right or irreparable injury needed for the requested injunction. The refusal followed the application and evidential position before it, not a declaration that a bank's every act was beyond challenge. (Paragraphs 57-64.)

The exact appeal result

The interlocutory appeal was dismissed with costs to the first, third, fourth, fifth and sixth respondents. Refusal of joinder and interim restraint was upheld. The decision did not award the estate a damages or accounting sum. (Paragraphs 57-64.)

The historical amounts and consent dates in the source are not fully consistent. This article does not manufacture a reconciled debt balance, calculate what remains payable or present money mentioned in the history as a new award.

The companion appeal was the same dispute

The retained source pass also read Civil Appeal 19 of 2017, [2023] KECA 370, decided the same day. It concerned the consent decree, review, joinder and consolidation in the same underlying mortgage dispute. The court dismissed that appeal, upheld the challenged High Court ruling and awarded costs to the same specified respondents. Read the companion judgment, paragraphs 48-78, particularly paragraph 78.

The companion's paragraph 10 describes a four-month sale-and-payment period, possible extension by the bank, default vesting, and a possible purchaser-refund counterclaim with conditional costs treatment. These were historical consent terms, not a new award to the estate.

It is not a second independent case for counting purposes. Paragraph 23 ends mid-sentence while summarising appeal grounds. Its continuation is not reconstructed; omitting reliance on it does not amount to complete-source review.

Questions after a mortgage workout

Which settlement and sale documents govern the remaining rights? What did the earlier court actually approve? What cause of action is now asserted against each proposed party, and what pleading supports it?

An advocate should distinguish an existing substantive claim from an attempt to revive an interest already affected by the earlier sale. Official searches can identify registered dealings, but do not themselves answer the legal effect of a consent or private-sale settlement.

Independent local reading of retained text took place on 11 September 2026, separately from the original acquisition and history searches. No new request or search was made. Current title, possession, bank-account reconciliation and complete later history remain unestablished.
