A new suit did not reset the mortgage dispute in City Chemist

City Chemist's interim stay request failed; a later administrator suit was dismissed as res judicata. Neither ruling ordered an auction or quantified debt.

Changing the form or parties of litigation does not necessarily make the same mortgage dispute new. In City Chemist v M. Oriental Bank, the Court of Appeal considered a stay request following the striking out of a suit as res judicata. Later proceedings brought in estate-administrator capacity also required examination of that history.

Case identity

  • Case: City Chemist (Nairobi) Limited v M. Oriental Bank Limited (Formerly Delphis Bank Limited) & another
  • Court: Court of Appeal at Nairobi
  • Panel: D. K. Musinga, H. A. Omondi and M. Gachoka.
  • Decision date: 22 September 2023
  • Citation: Civil Application E280 of 2023; [2023] KECA 1137 (KLR)
  • Stage: Ruling on attempted interim restraint of mortgage enforcement.
  • Primary decision: Read the ruling.

The application followed a history-based disposal

The application followed the striking out of HCC E096 of 2023 as res judicata: the court treated the dispute as already decided in earlier litigation. (Paragraphs 1-5.)

The underlying [2023] KEHC 19234 body dismisses the company's application dated 8 March 2023, allows the bank's striking-out application dated 13 March, and awards the first defendant the costs of the applications. Read the underlying ruling, paragraphs 1, 10 and 22-23.

Underlying paragraphs 18-20 treat earlier dismissals for want of prosecution as determinations for res judicata. That procedural effect is not a fresh finding that every asserted debt amount was due.

Appellate prayer 1(b) says 16 June 2023 with "sic"; the header and paragraph 2 identify 19 June. Underlying paragraph 21 and appellate paragraph 12 refer to the unsuccessful injunction application as 13 March, contrary to the underlying opening and orders. The quoted history also places a 2015 application before a 2008 dismissal. These inconsistencies are not silently repaired.

The stay requirements were not established

The Court of Appeal found neither an arguable appeal nor the required nugatory consequence demonstrated. It also treated the underlying dismissal as a negative order incapable of the stay sought. Those were distinct reasons within the interim assessment. (Paragraphs 7-12.)

For the risk that a successful appeal would be rendered useless, the court relied on the bank's undisputed ability to pay damages. That reasoning was not an award of damages or an endorsement by this article. (Paragraph 11.)

No stay arose merely from filing. Paragraph 9 expressly leaves the substantive appeal's merits to the bench hearing it.

This case-specific assessment does not bar every later proceeding concerning charged land. A different procedural label alone does not resolve what was previously decided.

The court did not order an auction or fix the debt

The notice of motion was dismissed with costs to the respondents. It did not order an auction, quantify debt or award damages. (Paragraph 13.) The applicant's willingness to deposit security in paragraph 3 was not an ordered deposit or conditional stay.

Debt balances, alleged repayments and settlement proposals are not monetary awards or a reconciled current account.

Nor does refusal of interim relief establish that a sale subsequently occurred. Auction, payment, possession and registration require their own evidence.

The later administrator suit was also considered against that history

In Kisabuli & another v M Oriental Bank Limited, [2024] KEHC 5407, the court connected the administrators, company and same charged property when addressing res judicata. Paragraph 14, missing from the simplified capture, is present in the indexed raw capture. Read the later ruling, paragraphs 14-16 and 20-21.

It dismissed the suit and applicants' application as res judicata and allowed the bank's application with costs. This was not a fresh valuation of the security or an accounting award. (Paragraphs 20-22.)

Appellate paragraph 5 reports an affidavit naming an individual as proprietor; underlying paragraphs 4 and 12 describe estate ownership and administration. The later court finds administrator/director connections, not a verified registry chain. This article does not reconcile registration or reproduce identifying household details.

Questions before treating litigation as a fresh start

Which earlier judgments concern the same property and interests? Were parties acting personally, for a company or for an estate? What issues were decided, and what relief is the current application actually seeking?

A qualified advocate should examine those connections. Official searches, litigation status and account enquiries answer different questions.

Ezra independently read all eight indexed captures. The principal header, paragraphs 1-13, embedded quotations and dated closing of 22 September 2023 are complete. Both material High Court bodies are complete, but their own headers and dated signings/closings are absent: their full-primary flags and the overall source pass remain false; HOLD. Earlier acquisition/searches belong to BatchSixJulySeptember. No new request or history search occurred; a final appeal outcome is unverified. This is NOT human legal or publication clearance.
